Welcome to Open Time Slot

These Terms of Use govern your access to and use of Open Time Slot’s AI-powered scheduling automation services and related websites, applications, and platforms (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Account Registration and Security

1.1 Account Creation

To access certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Update your information to keep it accurate, current, and complete at all times.
  • Be solely responsible for all activity that occurs under your account.

1.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Keep your login information secure and confidential.
  • Notify us immediately of any unauthorized use of your account.
  • Notify us of any breach of security involving your account.
  • Accept all risks of unauthorized access due to your failure to maintain security.

1.3 Usage Monitoring

We reserve the right to monitor your usage of the Services for purposes including:

  • Security enhancement.
  • Compliance with applicable laws and regulations.
  • Service improvement and optimization.

We may review account activity and suspend accounts if unusual usage patterns are detected.

2. License and Restrictions

2.1 License Grant

Subject to your compliance with these Terms, Open Time Slot grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

2.2 Restrictions

You agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Services or any related systems or networks.
  • Copy, modify, distribute, sell, rent, lease, or sublicense any part of the Services.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Services.
  • Use the Services in any manner that could disable, overburden, or impair the performance or operation of the Services.

2.3 API Rate Limiting

If we provide access to APIs as part of our Services:

  • We reserve the right to impose rate limits on the number of API calls you may make.
  • Exceeding these limits may result in throttling, temporary suspension of access, or additional fees.
  • Attempts to circumvent these limits are strictly prohibited and will constitute a violation of these Terms.

3. User Content and Ownership

3.1 User Content

“User Content” refers to any data, information, materials, or content that you submit, upload, transmit, or otherwise make available through the Services. You retain all ownership rights to your User Content.

3.2 License to User Content

By submitting User Content, you grant Open Time Slot a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to:

  • Use, store, display, reproduce, modify, create derivative works from, distribute, and otherwise exploit your User Content.
  • Use your User Content to provide, maintain, and improve the Services.
  • Use your User Content for the training, tuning, and development of our AI systems.

This license survives termination of these Terms.

3.3 Intellectual Property

All rights, title, and interest in and to the Services — including all intellectual property rights — are owned by Open Time Slot or its licensors. These Terms do not grant you any ownership rights in the Services.

3.4 User Representations

You represent and warrant that:

  • You have all necessary rights, licenses, and permissions to submit your User Content.
  • Your User Content does not and will not infringe, misappropriate, or violate any third-party rights.
  • Your use of the Services and all User Content complies with all applicable laws and regulations.

3.5 Feedback License

If you provide feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you agree that:

  • Open Time Slot shall have a perpetual, irrevocable, worldwide, royalty-free, fully paid-up right to use such Feedback for any business purpose.
  • You assign all rights, title, and interest in and to such Feedback to Open Time Slot without compensation to you.

4. AI Scheduling Automation Services

4.1 Limitations

Open Time Slot’s AI-powered scheduling automation services are designed to assist with appointment scheduling and related business functions. However, you acknowledge that:

  • AI-generated outputs may not always be accurate, complete, or error-free.
  • You are responsible for reviewing and verifying any outputs or actions of the AI systems.
  • Critical decisions should not be made solely based on AI recommendations without human oversight.

4.2 Training and Improvement

Open Time Slot may use anonymized data derived from your use of the Services to:

  • Train, enhance, and improve our AI systems.
  • Improve the overall functionality, reliability, and performance of our Services.

5. Privacy and Data Security

5.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and disclose information from and about you when you use our Services. The Privacy Policy is incorporated into these Terms by reference.

5.2 Data Processing

For business customers, we may act as a data processor for certain User Content and other data provided to the Services. In such cases:

  • Our Data Processing Agreement will apply to applicable processing activities.
  • We will implement appropriate technical and organizational measures to protect your data.

6. Payment Terms

6.1 Fees

You agree to pay all applicable fees associated with your use of the Services. Fees are exclusive of any applicable taxes, which you are responsible for paying.

6.2 Subscription and Billing

The Services are provided on a subscription basis. Your subscription:

  • Will automatically renew unless canceled prior to the renewal date.
  • Must be paid using an approved payment method provided at the time of registration.

6.3 Changes to Fees

Open Time Slot reserves the right to:

  • Modify its fees and pricing structure at any time with prior notice.
  • Continued use of the Services following a fee change constitutes acceptance of the new fees.

6.4 No Refunds

All payments are non-refundable. In exceptional circumstances, we may:

  • Provide prorated refunds at our sole discretion.
  • Apply credits or refunds to future service periods unless otherwise determined by us.

7. Service Availability and Modifications

7.1 Service Availability

Open Time Slot does not guarantee that the Services will be:

  • Uninterrupted.
  • Secure.
  • Error-free.
  • Available at all times.

We reserve the right to perform maintenance or updates that may temporarily affect the availability of the Services.

7.2 Service Modifications

Open Time Slot may:

  • Modify, suspend, or discontinue any feature or aspect of the Services at any time and for any reason.
  • Make changes without prior notice.
  • Be under no obligation to maintain backward compatibility of any feature or API.

8. Term and Termination

8.1 Term

These Terms will remain in effect until terminated by either you or Open Time Slot.

8.2 Termination by Open Time Slot

We may suspend or terminate your access to the Services at any time for reasons including:

  • Violation of these Terms.
  • Fraudulent, abusive, or illegal activity.
  • Non-payment of fees.
  • Extended periods of account inactivity.
  • Any activity that may harm the Services or other users.

8.3 Termination by You

You may terminate these Terms at any time by discontinuing your use of the Services and closing your account.

8.4 Effect of Termination

Upon termination:

  • Your right to access and use the Services will immediately cease.
  • We may delete your User Content and account information 30 days after termination.
  • All provisions of these Terms that should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

The Services provided by Open Time Slot are offered “AS IS” and “AS AVAILABLE,” without warranties of any kind, either express or implied. Without limiting the foregoing, Open Time Slot expressly disclaims any and all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Services will meet your specific requirements.
  • Warranties that the Services will be uninterrupted, timely, secure, or error-free.
  • Warranties that the results obtained from the use of the Services will be accurate, complete, or reliable.
  • Warranties that the quality of any products, services, or information purchased or obtained through the Services will meet your expectations.
  • Warranties that any errors in the Services will be corrected.

You acknowledge that any reliance on the Services or outputs from AI-powered automation is at your sole risk.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, Open Time Slot, its affiliates, directors, employees, agents, and licensors shall not be liable for any:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages.
  • Damages for loss of profits, revenue, goodwill, use, data, or other intangible losses.
  • Damages arising out of or relating to your use or inability to use the Services.
  • Damages resulting from any errors, mistakes, or inaccuracies of content.
  • Damages from unauthorized access to or use of our servers or any personal information stored therein.

9.3 Cap on Liability

In no event shall the total liability of Open Time Slot to you for all claims arising from or relating to these Terms or your use of the Services exceed the amount paid by you to Open Time Slot for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

9.4 Limitation Period

Any claim or cause of action you may have arising out of or relating to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose. If not filed within this time period, the claim or cause of action is permanently barred.

10. Indemnification

You agree to indemnify, defend, and hold harmless Open Time Slot, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorney’s fees) arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including without limitation any intellectual property, privacy, or publicity rights.
  • Any claim that your User Content caused damage to a third party.

11. Third-Party Services

The Services may integrate with or provide access to third-party services, applications, or websites (“Third-Party Services”). You acknowledge that:

  • These Third-Party Services are not under the control of Open Time Slot.
  • Open Time Slot is not responsible for the availability, reliability, or content of Third-Party Services.
  • Open Time Slot does not endorse or assume responsibility for any Third-Party Services.
  • Your use of Third-Party Services is subject to any terms and conditions provided by those third parties.
  • Open Time Slot disclaims all liability in connection with your use of any Third-Party Services.

12. Force Majeure

Open Time Slot shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to:

  • Acts of God.
  • Natural disasters such as earthquakes, storms, or floods.
  • Electrical or power outages.
  • Internet or telecommunications failures.
  • Acts of terrorism or war.
  • Labor disputes or strikes.
  • Government actions or regulations.
  • Epidemics, pandemics, or other public health crises.

13. Export Controls

You agree to comply with all applicable export control and economic sanctions laws and regulations, including those of the United States. You represent and warrant that:

  • You are not located in a country that is subject to a U.S. Government embargo or has been designated by the U.S. Government as a “terrorist supporting” country.
  • You are not listed on any U.S. Government list of prohibited or restricted parties.
  • You will not export or re-export the Services to any country, person, or entity prohibited by applicable export laws.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its commercial arbitration rules. The arbitration shall take place in Las Vegas, Nevada.

14.3 Class Action Waiver

You and Open Time Slot agree that:

  • Any claims against the other must be brought in your or its individual capacity.
  • Claims may not be brought as a plaintiff or class member in any class or representative proceeding.
  • The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any class or representative proceeding.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon:

  • Posting the updated Terms on our website.
  • Providing notice through the Services.

Your continued use of the Services following any changes constitutes acceptance of the updated Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, along with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Open Time Slot.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without prior written consent from Open Time Slot. We may assign these Terms without restriction.
